Job Description:
The Junior Lawyer cooperates on M&A and financing projects. Responsibilities include managing legal aspects of acquisition, financing and capital markets transactions in all CTP regions, in close cooperation with the business and legal M&A and finance teams, with the assistance of external law firms where needed, drafting and reviewing contractual and financing documentation, collaborating with numerous third parties including external legal, technical, tax and other advisors, banks, authorities, and other stakeholders. The role also involves assisting with negotiations, ensuring accurate transaction data management, and handling various legal matters, as instructed by the senior members of the team.
- Cooperation on projects related to acquisition and sale of real estate and companies, transformations and the other companies
- Cooperation on all the financing projects including refinancing or other form of financing of the assets of the Group or assets to be acquired by Group
- Corporate financing agenda connected therewith: i.e. loan and security documentation, finance documentation;
- Other corporate agenda, including internal restructuring, corporate governance, company formation and preparation of related contractual/legal documents
- Cooperation with external law firms, banks, companies, public administration bodies to the extent of instructions given to the Employee by his/her superiors
- Preparation of contractual and other documents
- Negotiations with third parties (state authorities, courts, banks, contractual partners) according to instructions given to the Employee
- Ensuring proper data management of transactions with help of legal assistant
- According to the instructions of the management, any other legal agenda, including preparation of commercial contracts, preparation of documents related to bank financing, litigation agenda, agenda related to contractual relations entered into by the employer.
Requirements:
- University degree in law;
- At least three years’ relevant experience in real estate and finance law, in a law firm or in-house;
- Excellent verbal and written English communication skills;
- Team player, ability to co-operate with colleagues located outside Czech Republic;
- Pro-active attitude.
